With over 30 years of legal experience, including almost 25 years of corporate law experience at two of the largest law firms in the United States, we can provide sophisticated business and legal advice to entrepreneurs, startups, inventors, angel investors, contractors, service providers and venture capitalists on most corporate and other business and litigation matters including entity formation, capital raising, governance, lawsuits, mediation and dispute resolution, employee/contractor issues, equity incentive and option plans, general contract drafting and exit/sale transactions.

​Throughout his 25 years of experience at two of the largest law firms in the United States, Jay has served as general corporate counsel for hundreds of startups and small businesses in a wide variety of tech and traditional industries ranging from software/app developers to product/service companies to real estate developers.  Jay focuses his practice primarily on:
